Welcome to Capitalk. These Terms & Conditions govern the business relationship, service delivery, and transactions between Capitalk Sdn. Bhd. ("Capitalk", "we", or "us") and our clients. By using our systems or engaging our services, you fully agree to be bound by the terms set forth below.
1. Scope of Services & Client Categories
1.1
Core Services
Capitalk provides end-to-end strategic advisory solutions, including Personal Identity Advisory (VISA pathways), Education Planning, Talent & Investors pathways, Corporate Training & Audits, and Overseas Business Setup.
1.2
Client Categories
Our clientele is categorized into two main groups: End-users (direct clients) and Agencies (official partners).
2. Agency Partnership & Commission System
2.1
Agency Verification
Any entity or individual wishing to become an official Agency must undergo and pass an internal review by Capitalk. Unauthorized use of our platform as an Agency is strictly prohibited.
2.2
Base Pricing & System Access
Capitalk will provide approved Agencies with a fair and reasonable internal base price for our services.
2.3
Independent Commission Allocation
Agencies are permitted to use our internal system to add their own customized commission structure on top of the base price. The system will then generate the final invoice for the End-user to make the payment directly.
3. Currency, Compliance & Governing Law
3.1
Standardized Currency
To ensure strict financial compliance, all service base prices, agency commissions, final quotations, and transactional payments must be calculated and settled exclusively in Malaysian Ringgit (RM).
3.2
Legal Compliance & Jurisdiction
All transactions and services provided are legally compliant and strictly protected and governed by the laws of Malaysia. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Kuala Lumpur, Malaysia.
4. Strict No Refund Policy
4.1
General Rule
As our advisory and cross-border solutions involve highly customized strategy and execution, strictly NO REFUNDS will be issued under any circumstances once a service has been initiated or pushed forward in our system.
4.2
Negligence Exemption
Under this strict no-refund policy, if a service is delayed, rejected, or fails due to the negligence of the End-user or the Agency (including but not limited to: failure to provide required documents on time, submission of false or misleading information, concealment of critical facts, etc.), Capitalk holds no liability. Under such circumstances, no refunds will be granted, and the transfer of funds/services will not be permitted.
5. Service & Fund Transfer Mechanism
As an alternative to traditional refunds, we offer a conditional transfer mechanism:
5.1
Transfer Eligibility
Clients or Agencies may only raise a dispute and request a transfer if a clear error occurs in the documentation or procedural process, AND it is officially verified that the error was NOT caused by the End-user or the Agency.
5.2
Execution of Transfer
If the conditions in Clause 5.1 are met, while direct monetary refunds remain unavailable, the End-user or Agency may request to transfer the affected service and its equivalent monetary value to another designated user (End-user). All transfer requests must be formally submitted and are subject to final evaluation and approval by Capitalk.

By making a payment as an End-user or utilizing our system to allocate commissions as an Agency, you acknowledge that you have read, understood, and unreservedly agreed to these Terms & Conditions, particularly the Strict No Refund Policy and the Malaysian Ringgit (RM) Settlement Requirement.
